Ready To Hyperfocus Session Agreement
This Agreement is entered into by and between Eliza Barach McCurdy of Neural Revolution, hereinafter referred to as the "Coach" and the individual booking a Ready To Hyperfocus Session, hereinafter referred to as the "Client." By booking a session, the Client agrees to be bound by the terms of this Agreement.
Coach-Client Relationship
A. Coach agrees to maintain the ethics and standards of behavior established by the International Coaching Federation "(ICF)" (https://coachingfederation.org/ethics/code-of-ethics), the Professional Association for ADHD Coaches "(PAAC)" (https://paaccoaches.org/core-competencies/) and the CCE's BCC Code of ethics (https://www.cce-global.org/Assets/Ethics/BCCcodeofethics.pdf).
It is recommended that the Client review the ICF Code of Ethics, the applicable standards of behavior, the PAAC core competencies as well as the CCE's BCC Code of ethics.
B. Client is solely responsible for creating and implementing their own physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from the coaching relationship and their coaching session and interactions with the Coach. As such, the Client agrees that the Coach is not and will not be liable or responsible for any actions or inaction, or for any direct or indirect result of any services provided by the Coach. Client understands coaching is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease.
C. Client acknowledges that coaching does not involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association and that coaching is not to be used as a substitute for counseling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice by legal, medical or other qualified professionals and that it is the Client's exclusive responsibility to seek such independent professional guidance as needed. If Client is currently under the care of a mental health professional, it is recommended that the Client promptly inform the mental health care provider of the nature and extent of the coaching relationship agreed upon by the Client and the Coach.
D. The Client agrees that deciding how to handle issues discussed in the session, incorporate coaching principles into those areas, and implementing choices is exclusively the Client's responsibility.
Services
The parties agree to engage in a Ready To Hyperfocus coaching session as outlined below:
A. Session Structure:
- Each Ready To Hyperfocus Session is a focused 60-minute coaching session addressing a single specific challenge or topic chosen by the Client
- The session will concentrate on developing actionable strategies and solutions for the chosen focus area
- Sessions can be conducted in the client's preferred modality (in-person, virtual, or telephone), though the Coach reserves the right to change the modality at a moment's notice
- The Coach reserves the right to end the session before the 60 minutes elapse and still charge for the full session
- The Client reserves the right to end the session before the 60 minutes elapse but will still be charged for the full session
B. Between-Session Communication:
- Following the session, the Client may receive summary notes or action items via email
- Any follow-up questions should be addressed within 48 hours of the session
- The Coach will make reasonable efforts to respond to post-session clarification questions within 2 business days
- Extended support or additional coaching needs will require booking a new session
- All post-session communication is provided as a courtesy only and is not guaranteed
- Failure to provide post-session communication or responses does not constitute a breach of this agreement and does not warrant any refund or compensation
C. Additional Services:
The Coach may be available for additional time, per Client's request, on a prorated basis at a rate of $75 an hour. This may include reviewing documents, reading or writing reports, or engaging in other Client-related services outside of coaching hours.
Schedule and Fees
A. Scheduling:
- Sessions can be scheduled through the coaching portal/using the session link
- Each Ready To Hyperfocus Session is a standalone engagement
- While clients are welcome to book additional sessions, there is no obligation to maintain an ongoing coaching relationship
- Availability is on a first-come, first-served basis
B. Session Confirmation:
- A confirmation email will be sent upon successful booking
- A reminder will be sent 24 hours before the scheduled session
- The Client understands that these are courtesy services and the final responsibility for recording and remembering sessions rests with the Client
C. Payment:
- Payment is due at the time of booking
- The Client must save a valid credit card on file
- Under no circumstances are refunds rendered, except as specified in the Termination section of this agreement
Session Protocol
A. Virtual Sessions:
- The Client will receive a meeting link upon booking
- The Client should join the session 2-3 minutes before the scheduled time
- If technical issues arise, the Coach will provide alternate connection instructions
- If the Client does not join within 15 minutes of the start time, the session will be forfeited with no refund
B. Phone Sessions:
- The Coach will call the Client at the scheduled time using the provided number
- If unreachable, the Coach will attempt a second call after 5 minutes
- The Client must return any missed calls within 15 minutes of the scheduled start time
- Sessions not commenced within 15 minutes will be forfeited with no refund
Cancellation and Rescheduling
- The Client must provide 24 hours notice for cancellations or rescheduling
- Notice can be given through the coaching portal or direct communication with the Coach
- Late cancellations or no-shows will be charged the full session fee
- Rescheduling is subject to the Coach's availability
Confidentiality
This coaching relationship, as well as all information (documented or verbal) that the Client shares with the Coach as part of this relationship, is bound by the principles of confidentiality set forth in the ICF Code of Ethics. However, please be aware that the Coach-Client relationship is not considered a legally confidential relationship (like the medical and legal professions) and thus communications are not subject to the protection of any legally recognized privilege.
The Coach agrees not to disclose any information pertaining to the Client without the Client's verbal or written consent, with the exception outlined in the Consultation/Collaboration Section of this agreement.
The Coach will not disclose the Client's name as a reference without the Client's consent.
Confidential Information does not include information that:
(a) was in the Coach's possession prior to its being furnished by the Client;
(b) is generally known to the public or in the Client's industry;
(c) is obtained by the Coach from a third party, without breach of any obligation to the Client;
(d) is independently developed by the Coach without use of or reference to the Client's confidential information;
(e) the Coach is required by statute, lawfully issued subpoena, or by court order to disclose;
(f) is disclosed to the Coach and as a result of such disclosure the Coach reasonably believes there to be an imminent or likely risk of danger or harm to the Client or others; and
(g) involves illegal activity.
The Client also acknowledges their continuing obligation to raise any confidentiality questions or concerns with the Coach in a timely manner.
Data Protection
The Coach will take reasonable measures to protect the Client's personal information. This includes storing data securely and only retaining information necessary for the coaching relationship. Access to Client's personal data shall be strictly limited to authorized Neural Revolution employees and independent contractors, and such access shall be granted solely for the purpose of providing support services for Neural Revolution. The Client's data will not be sold or shared with any other third parties, except as required by law or with the Client's explicit consent.
Intellectual Property
All materials, methods, and strategies used in the coaching process are the intellectual property of the Coach and/or Neural Revolution. The Client is granted a non-exclusive, non-transferable license to use these materials for personal use only. The Client agrees not to reproduce, distribute, or create derivative works based on these materials without express written consent from the Coach.
Limited Liability
Except as expressly provided in this Agreement, the Coach makes no guarantees, representations or warranties of any kind or nature, express or implied with respect to the coaching services negotiated, agreed upon and rendered. In no event shall the Coach be liable to the Client for any indirect, consequential or special damages. The Coach is not liable for any decisions made or actions taken by the Client as a result of the coaching services provided.
Notwithstanding any damages that the Client may incur, the Coach's entire liability under this Agreement, and the Client's exclusive remedy, shall be limited to the amount actually paid by the Client to the Coach under this Agreement for all coaching services rendered through and including the termination date.
Termination
Either party may terminate this agreement before the scheduled session:
- If terminated by the Coach: The Client will receive a full refund
- If terminated by the Client with less than 24 hours notice: No refund will be issued and the session will be forfeited
- If terminated by the Client with more than 24 hours notice: No refund will be issued, but the Client may reschedule their session for a future date subject to the Coach's availability
Consultation/Collaboration
The Coach engages in training, supervision and consultation with other coaches, mental health professionals and consulting professionals to ensure for the best and most cutting-edge coaching/consulting experience for clients.
According to the ethics of the coaching profession, topics may be anonymously and hypothetically shared with other coaching professionals for training, supervision, mentoring, evaluation, and for coach professional development and/or consultation purposes.
By signing this agreement the Client gives the Coach permission to share information pertaining to the Client's sessions with other coaches and/or mental health professionals (including other members of the Client's health team) for consultation and/or collaborations. The coach will not share the Client's name unless explicit verbal or written permission has been given to the coach.
Dispute Resolution
If a dispute arises out of this Agreement that cannot be resolved by mutual consent, the Client and Coach agree to attempt to mediate in good faith for up to 30 days after notice given.
If the dispute is not so resolved, and in the event of legal action, the prevailing party shall be entitled to recover attorney's fees and court costs from the other party.
Severability
If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.
If the Court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
Waiver
The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.
Applicable Law
This Agreement shall be governed and construed in accordance with the laws of the State of New York, without giving effect to any conflicts of laws provisions.
Binding Effect
This Agreement shall be binding upon the parties hereto and their respective successors and permissible assigns.
